THE PROGRAM/CONSUMER GUIDELINES 
You will be considered a Participating Center if you actively participate in the Program by either (i) distributing the Consumer Guidelines, attached hereto as Schedule 2, as may be amended from time to time, to any consumer who purchases a Covered Tire, and/or (ii) accepting claims under the Program from consumers or submitting claims to the Program Administrator, then you are deemed to have accepted and agreed to comply with all of the terms and conditions of the Program as set forth herein. This Letter Agreement, the Schedules and the policies and procedures of the Program will be binding on you, anyone who acquires your Center and anyone who distributes the Consumer Guidelines.

The Program and Program Administrator reserve the right to modify the Consumer Guidelines at any time and will post the most current Consumer Guidelines to the Program Website (the "Website") located at www.nsdmc.com/rhp. You have the obligation to check the Website to ensure you are distributing the most current Consumer Guidelines to any consumer who purchases a Covered Tire and to provide the services required herein of Participating Centers. You cannot distribute the Consumer Guidelines to anyone who does not purchase a Covered Tire.

RESPONSIBILITIES OF A PARTICIPATING CENTER As a Participating Center, you have the following responsibilities under the Program:

  1. At all times, you must understand and comply with the terms of the Program as in effect from time to time, including but not limited to, checking the Website to ensure you have the most current Schedules to this Letter Agreement.
  2. You must provide the then current Consumer Guidelines to each purchaser of a Covered Tire at the time such Covered Tire is purchased by the consumer.
  3. You must ensure that all Replacement Tires installed on a vehicle properly fit and meet the vehicle specifications established by the original equipment manufacturer for such vehicle.
  4. You must process all claims in accordance with the policies and procedures set forth on Schedule 3, as may be amended from time to time. The Program and the Program Administrator reserve the right to modify Schedule 3 and will post the most current Schedule 3 to the Website.
  5. Once you have completed the replacement of a Covered Tire, you must submit the required documentation listed on Schedule 4, as may be amended from time to time, within 90 days, to the Program Administrator, at the address set forth on Schedule 4. The Program Administrator reserves the right to modify Schedule 4 and will post the most current Schedule 4 to the Website.
  6. You must provide and/or obtain from the consumer, any additional documentation that is reasonably requested by the Program Administrator in processing a claim.
  7. You must allow the Program Administrator, or any of its designated representatives, upon reasonable prior notice to you, to audit your compliance with the Program and the claims you submit, by supplying supporting data reasonably requested by Provider relating to the Program and inspecting the damaged tires retained by you, during your regular business hours.

RESPONSIBILITIES OF THE PROGRAM ADMINISTRATOR The Program Administrator has the following responsibilities under the Program:

  1. Be available to provide you with authorization to replace a tire in a timely manner (and, in any event, within two (2) business days), during normal business hours, as published on the Website.
  2. Process your claims in a timely manner.
  3. Pay you in accordance with the "Payment/Reimbursement" section herein.
  4. Inform you of a non-valid claim, missing claim documentation or investigation of a claim, within 30 days from your submission of all required documentation except that if there is missing claim documentation or if fraud is suspected, the 30-day period maybe extended as the Program Administrator reasonably requires to process the claim or evaluate the legitimacy of any claim.

PAYMENT/REIMBURSEMENT The benefits of this complimentary Program are secondary to any other motor club contracts and/or vehicle service contracts the consumer may have purchased that provide reimbursement for damaged tires and/or wheels. Provided that there is no Primary Coverage available, the Program Administrator's sole obligation is to reimburse you for the cost of the Replacement Tire up to the amount of the Tire Replacement Benefit, as applicable, within 5 days of the determination that a claim is a valid claim under the Program. Under no circumstances will the Program Administrator be liable for any amounts greater than the Tire Replacement Benefit.

If there is Primary Coverage available, you must first seek payment/reimbursement from the Primary Coverage provider. Under no circumstances will the time frame to file a claim with the Program Administrator be extended while you are processing a claim with the Primary Coverage provider. Therefore, you should promptly file a claim for records purposes with the Program Administrator. Please note that the Program Administrator reserves the right to request copies of the claim documentation filed with the Primary Coverage provider. In the event of claim denial or partial payment by the Primary Coverage provider, the Program Administrator must be provided with sufficient documentation to process the claim subject to the terms and conditions outlined herein.

In the event that the Primary Coverage is insufficient to cover the cost of the Replacement Tire, the Program Administrator will pay you the difference between the amount paid by the Primary Coverage provider and the amount that the Program Administrator would have paid in the absence of the other coverage. Under no circumstances will the Program Administrator pay you more than the Tire Replacement Benefit.

If any other motor club contract and/or vehicle service contract exists but the terms of that contract(s) clearly state that it is secondary, the Program Administrator will pay 50% of the eligible Tire Replacement Benefit.

TERMINATION The terms of the Program must be complied with at all times in order for you to maintain your status as a Participating Center. The Program Administrator reserves the right to terminate your status as a Participating Center at any time and for any reason or no reason at all, with the prior written consent of TR Wholesale Solutions LLC, upon written notice to you. You agree that if your status as a Participating Center is terminated, you will (i) immediately discontinue distributing the Consumer Guidelines to consumers who purchase Covered Tires, (ii) discontinue accepting new claims from consumers for the replacement of Covered Tires under the Program, and (iii) not hold yourself out as a Participating Center to any person or entity, including any consumer. You may continue to process claims for replacements with Loss Occurrence Dates within the Coverage Period, so long as you comply the terms of this Letter Agreement.

ASSIGNMENT You agree that you cannot assign any of your rights or obligations under this Letter Agreement and/or the Program. The Program Administrator may assign its rights and obligations hereunder without your prior consent.

INDEMNIFICATION You agree to indemnify, defend and hold harmless TR Wholesale Solutions LLC and the Program Administrator and each of their affiliates, respective officers, directors, employees, agents, managers, members and shareholders from and against and in respect of any and all demands, claims, actions or causes of action, assessments, losses, damages, liabilities, interest and penalties, costs and expenses (including reasonable legal fees and disbursements incurred in connection therewith and in seeking indemnification therefor, and any amounts or expenses required to be paid or incurred in connection with any action, suit, proceeding, claim, appeal, demand, assessment or judgment) relating to (i) any breach of this Letter Agreement, the Schedules, or any policy or procedure pursuant to the Program, by you or your affiliates, (ii) the delivery, by you or your affiliates, of the Consumer Guidelines to a consumer who does not purchase a Covered Tire, (iii) reimbursement beyond the Maximum Replacement Tire Fee, as applicable, (iv) the sale of other coverage to a consumer by you, and (v) any statements or services provided by you to a consumer, including without limitation, a statement that a consumer is entitled to benefits under the Program when the consumer is not.

GOVERNING LAW This Letter Agreement and accompanying Schedules shall be governed by and construed in accordance with the laws of the State of Indiana without reference to the choice of law principles thereof. The parties hereby irrevocably consent to the jurisdiction and venue of any state or federal court of competent jurisdiction located in South Bend, Indiana, and waive any objections such party may have at any time to such jurisdiction and venue. The parties agree to the personal jurisdiction of such courts.

GENERAL All Schedules will be posted on the Website and will be effective with the date indicated. In the event that any term or provision of this Agreement is held by a court having competent jurisdiction to be invalid or unenforceable, such term or provision shall be deemed severable to the extent required by such ruling, and the remainder of this Agreement shall remain in full force and effect. This Agreement constitutes the entire agreement of the parties with respect to the subject matter hereof.

SCHEDULE 1 - DEFINITIONS FOR LETTER AGREEMENT & SCHEDULES In addition to the terms defined in the Consumer Guidelines attached hereto as Schedule 2, the following terms shall have the following meanings for purposes of this Letter Agreement and the Schedules 1, 3, 4 and 5 (to the extent applicable):

"Coverage Period" means for each Original Tire and each Replacement Tire for that Original Tire, for the period beginning on the date of customer's purchase of the Original Tire, as identified on the original invoice, and ending on the earlier of (i) twenty-four (24) months from the date of the purchase of the Original Tire, (ii) when that tire has a tread depth of 2/32" or less, (iii) the transfer, whether by sale or otherwise, of the Covered Tire or the Covered Vehicle to another person, or (iv) the installation, whether temporarily or permanently, of the Covered Tire on a vehicle other than the Covered Vehicle. For example purposes only:

·         Consumer purchases an Eligible Tire ("Tire A") from Participating Center on 1/15/18. The Coverage Period for Tire A expires on 1/14/20.

·         Tire A is damaged due to a Road Hazard and it has been rendered Unserviceable on 4/30/18. The consumer receives a Replacement Tire ("Tire B") under the Program. The Coverage Period for Tire B ends on 1/14/20.

·         Tire B is damaged due to a Road Hazard and it has been rendered Unserviceable on 8/30/18. The consumer receives a Replacement Tire ("Tire C") under the Program. The Coverage Period for Tire C ends on 1/14/20.

"Covered Tire" means any Eligible Tire that is either an Original Tire or a Replacement Tire.

"Covered Vehicle" means the vehicle on which an Original Tire is first installed, as identified on the original invoice evidencing the purchase of the Original Tire, and which is owned by the same consumer at the time of purchase of an Original Tire and any subsequent Replacement Tire.

"Eligible Tire" means any tire purchased under the Program which is designated as one of the following product types on the TR Wholesale Solutions Program Website: (i) originally installed by the original equipment manufacturer; (ii) original equipment alternative; (iii) a tire meeting the requirements of (i) or (ii) above which is included in a tire and wheel package; or (iv) a winter tire.

"Original Tire" means a tire which is (i) purchased at and installed by a Participating Center, as evidenced by an original invoice of that Participating Center, and (ii) mounted on a Covered Vehicle.

"Replacement Tire" means an Eligible Tire that is obtained from a Participating Center and which is installed on a Covered Vehicle to replace a Covered Tire due to damage caused by a Road Hazard, which occurred during the Coverage Period within the United States or Canada, and has rendered the Covered Tire Unserviceable. The Participating Center is solely responsible for selecting Replacement Tires and ensuring that all Replacement Tires installed on a vehicle properly fit and meet the vehicle specifications established by the OEM.

"Road Hazard" means a condition on a public roadway that does not belong there, including potholes, nails, glass, other road debris, and which causes damage to a Covered Tire. This definition specifically includes curbs.

"Tire Repair Benefit" means a reimbursement to the Participating Center for the reasonable cost of repairing any Covered Tire. The Tire Repair Benefit is limited to a maximum of forty dollars ($40) per Covered Tire.

"Tire Replacement Benefit" means a reimbursement to the Participating Center for the cost of replacing a Covered Tire. This benefit applies to the cost of the tire only and does not include any other costs including but not limited to mounting, balancing, wheel weights, shop supplies, taxes, disposal fees, environmental fees, tire pressure sensors, and/or valve stems. During the Coverage Period, the Tire Replacement Benefit will cover 100% of the cost to replace each Covered Tire up to a maximum of five hundred ninety-nine dollars ($599) per tire.

"Unserviceable" means that the Covered Tire(s) has been punctured or otherwise damaged to the extent that the Covered Tire(s) is rendered unsafe for driving or will no longer hold a seal with its wheel.

SCHEDULE 2 - CONSUMER GUIDELINES
TIRE ROAD HAZARD PROGRAM CONSUMER TERMS AND CONDITIONS
DEFINITIONS: 
Throughout these Terms and Conditions, capitalized words in bold type have specific definitions as follows:

·         Cosmetic Damage means damage that does not render the Covered Tire Unserviceable;

·         Coverage Period means that coverage is effective when You purchase Original Tires from a Participating Dealer, and such Participating Dealer installs the Original Tires on the Covered Vehicle. You are entitled to Program Benefits for Covered Losses with Loss Occurrence Dates within twenty-four (24) months of the date on Your Original Tire purchase invoice; however, coverage will end earlier when any part of any Covered Tire's tread that comes into contact with the road has a tread depth of 2/32" or less. Additionally, coverage will end when You transfer ownership of the Covered Vehicle, or if any Covered Tire is installed at any time on any vehicle other than the Covered Vehicle. The term of coverage for Replacement Tires is limited to the balance of the Coverage Period for the Original Tires;

·         Covered Loss means that a Covered Tire becomes Unserviceable during the Coverage Period because of damage caused by a Road Hazard;

·         Covered Tire means an Original Tire or a Replacement Tire;

·         Covered Vehicle means the vehicle identified on the Original Tire proof of purchase invoice and on which the Covered Tire is originally mounted;

·         Eligible Tire means any tire purchased from a Participating Dealer and which is designated as one of the following product types for the tire program as: (i) originally installed by the original equipment manufacturer; (ii) original equipment alternative; (iii) a tire meeting the requirements of (i) or (ii) above which is included in a tire and wheel package; (iv) a winter tire;

·         Loss Occurrence Date means the date on which the repair invoice for the Covered Loss is opened by the Participating Dealer. The Loss Occurrence Date must be on or after the date that the Covered Loss occurred;

·         Obligor means Nation Motor Club, Inc., located 800 Yamato Road, Suite 100, Boca Raton, FL 33431. For Florida residents, Obligor means NIU of Florida, Inc., 800 Yamato Road, Suite 100, Boca Raton, FL 33431.

·         Off Road Use means that the Covered Vehicle was driven on anything that is not a paved road maintained by the state or local authority, or by a private entity.

·         Original Tire means an Eligible Tire purchased from a Participating Dealer, specifically listed on Your original purchase invoice, and mounted on the Covered Vehicle;

·         Participating Dealer means any eligible wholesale 24-month dealer within the United States which is enrolled in the Program with Us and which maintains its status as a Participating Dealer. You can obtain a current list of the Participating Dealers by visiting www.nsdmc.com/rhp or calling 855-246-6009. Participating Dealers may change from time to time, so please be sure to visit the website or call the number listed herein to obtain the most current information;

·         Primary Coverage means any other source of recovery available to You for Road Hazard damage to a Covered Tire including but not limited to physical damage insurance, motor club contracts, vehicle service contracts, or Road Hazard warranties provided by anyone other than Us.

·         Program Administrator means NIU of Florida, Inc.;

·         Program Benefits means Tire Repair Benefits or Tire Replacement Benefits. Note: if the vehicle manufacturer does not permit tire repair, we will replace Eligible Tires that become Unserviceable due to impact with a covered Road Hazard during the Coverage Period;

·         Replacement Tire means an Eligible Tire that is obtained from a Participating Dealer to replace an Original Tire due to a Covered Loss. To be eligible for Program Benefits, the Replacement Tire must be mounted on the Covered Vehicle on the Loss Occurrence Date;

·         Road Hazard means a condition on a public roadway that does not belong there, including potholes, nails, glass, other road debris, and which causes damage to a Covered Tire. This definition specifically includes curbs;

·         Tire Repair Benefit means a reimbursement to the Participating Dealership for the cost of repairing any Covered Tire. The Tire Repair Benefit is limited to a maximum of forty dollars ($40);

·         Tire Replacement Benefit means a reimbursement to the Participating Dealer for the cost of replacing a Covered Tire. This benefit applies to the cost of the tire only and does not include any other costs including but not limited to mounting, balancing, wheel weights, shop supplies, taxes, disposal fees, environmental fees, tire pressure sensors, and/or valve stems. During the Coverage Period, the Tire Replacement Benefit will cover 100% of the cost to replace each Covered Tire up to a maximum of five hundred ninety-nine dollars ($599) per tire;

·         Unserviceable means that the Covered Tire has been punctured or otherwise damaged to the extent that it is unsafe, or that it will no longer hold a seal with its wheel;

·         We, Us, Our means the Obligor;

·         You, Your means the original purchaser of the Covered Tire(s), provided that you are anon-commercial, private-party, individual named as the registered owner or lessee of the vehicle on which the tires are mounted.

WHAT IS THE TIRE ROAD HAZARD PROGRAM? The Tire Road Hazard Program provides You with a limited warranty for the repair or replacement of any Covered Tire which during the Coverage Period, becomes Unserviceable because of damage caused by impact with a Road Hazard. Cosmetic Damage is specifically excluded. This limited warranty applies only to losses that occur in the fifty (50) United States or Canada.

In order for You to be eligible for Program Benefits, You must be the original purchaser of the Covered Tire, and the Covered Tire must have been on the Covered Vehicle at the time it was damaged. To qualify for Program Benefits, You must comply with all rules of the Program as described herein; additionally, certain rules may apply specifically to Your state, and You can find these at www.nsdmc.com/rhp.

Program Benefits will be paid directly to the Participating Dealer by the Program Administrator for all valid claims. You are not entitled to receive any cash payment under this Program.

WHERE CAN I PURCHASE AN ORIGINAL TIRE? You must purchase an Original Tire from a Participating Dealer in order to be eligible for Program Benefits. You can obtain a current list of the Participating Dealers by visiting www.nsdmc.com/rhp or calling 855-246-6009. Participating Dealers may change from time to time, so please be sure to visit the website or call the number listed herein to obtain the most current information.

WHERE CAN I OBTAIN SERVICE FOR MY COVERED TIRE? To receive Program Benefits, You must bring the Covered Vehicle and Covered Tire(s) to any Participating Dealer enrolled in the Road Hazard Program that sells the same type of Covered Tire. You can obtain a current list of the Participating Dealers by visiting www.nsdmc.com/rhp or calling 855-246-6009. Participating Dealers may change from time to time, so please be sure to visit the website or call the number listed herein to obtain the most current information.

HOW LONG ARE MY TIRES COVERED UNDER THE PROGRAM? You will be entitled to Program Benefits for the Coverage Period defined above.

WHAT IF I NEED ASSISTANCE WITH A TIRE CHANGE OR TOW? In the event Your Covered Vehicle has a flat Covered Tire in the United States or Canada, Nation Motor Club, Inc. will send a service provider to change Your flat tire with Your good, inflated spare. In the absence of a good spare, Your Covered Vehicle will be towed to the nearest Participating Dealer up to a maximum of fifteen (15) miles. Please Note: if there is no Participating Dealer within fifteen (15) miles, or if You choose to have the Covered Vehicle towed to a Participating Dealer that is more than fifteen (15) miles away, You must pay the excess mileage charges at the time service is rendered. HOW DO I FILE A CLAIM TO RECEIVE BENEFITS UNDER THE PROGRAM?

  1. To receive Program Benefits, You must bring the Covered Vehicle and Covered Tire(s) to any Participating Dealer. You must also bring Your original invoice for the purchase of the Original Tires. All documentation, including the damaged tire must be inspected by the Participating Dealer.
  2. Upon completion of the replacement, You must sign the replacement invoice and allow the Participating Dealer to make a copy of both the Original Tire purchase invoice and the replacement invoice for submission to the Program Administrator. You must also complete and sign a claim form if requested to do so by the Program Administrator, and provide them with any other documentation that they may reasonably request including, but not limited to, digital photographs.
  3. The Participating Dealer must obtain authorization from the Program Administrator prior to any tire replacement if the damage occurs during normal business hours.
  4. If a Covered Tire needs to be replaced outside of the Program Administrator's normal business hours [Monday through Friday from 9 a.m. to 8 p.m. Eastern time], the Participating Dealer must submit the claim electronically through our claims portal. This portal is located at www.nsdmc.com/rhp. Alternatively, You may proceed with the tire replacement without the prior authorization from the Program Administrator, but You are then solely responsible for all amounts owed to the Participating Dealer should the Program Administrator subsequently deny the claim. In such cases, the claim must be reported to the Program Administrator the next business day, and the Participating Dealer must retain the damaged tire for our inspection. NOTE: THERE IS NO GUARANTEE THAT THE CLAIM WILL BE ACCEPTED FOR ANY TIRE REPLACED AFTER HOURS WITHOUT OUR AUTHORIZATION.

WHAT IF I ALREADY HAVE OTHER COVERAGE FOR MY TIRES? Program Benefits are secondary to any Primary Coverage. When a Covered Tire is damaged by a Road Hazard and another company provides any benefits for tire repair or replacement, the Program Benefits will be reduced by the amount of the Primary Coverage benefit.

If any other motor club contract and/or vehicle service contract exists but the terms of that contract(s) clearly states that it is secondary, the Program Administrator will pay 50% of the eligible reimbursement amount described in the Tire Replacement Benefit section of this Program.

CAN I TRANSFER MY BENEFITS TO ANOTHER PERSON OR ANOTHER VEHICLE? No. You may not transfer the benefits of the Program to any other tire(s), vehicle(s) or to any subsequent owner of the Covered Vehicle or Covered Tire(s). Any transfer of the Covered Tire(s) or the Covered Vehicle will automatically terminate the Coverage Period.

WHAT IS NOT COVERED UNDER THIS PROGRAM? There is no coverage for any of the following:

  1. Repairs or replacements made by anyone other than a Participating Dealer;
  2. Any tires where any part of the tire tread that comes into contact with the road has a tread depth of 2/32" or less;
  3. Any loss, damage or expense caused by an accident, collision, impact with another vehicle or animal, theft, larceny, snow chains, explosion, lightning, earthquakes, fire, windstorms, hurricanes, water, floods, wet or dry rot, malicious mischief, vandalism, civil commotion, riots, nuclear discharge, war or warlike act, act of terrorism, or any cause of loss normally covered by primary physical damage insurance;
  4. The repair or replacement of any tire due to manufacturer defect, or recall;
  5. If for any reason the manufacturer replaces the tire at its expense or at a reduced cost, no Program Benefits will apply;
  6. Any invoice presented for services not performed;
  7. Any damage due to misuse, abuse, negligence, improper application, improper towing, improper balancing or alignment, improper inflation, run flat damage, brake lock up, wheel spinning, torque snags, or lack of proper maintenance;
  8. Cosmetic Damage to any tire;
  9. Any loss, damage or expense resulting from Off Road Use;
  10. Any damage caused by any mechanical failure including but not limited to failed shocks, struts, alignment, or balancing, or contact with vehicle components including but not limited to fenders, exhaust system, or springs;
  11. Repair or replacement of any tires that have been repaired in any manner other than the tire manufacturer guidelines and industry approved methods;
  12. Repair or replacement of any tires that have been re-treaded, re-capped, re-grooved, remolded, or tubed;
  13. Repair or replacement of any tire(s) used or installed on any vehicle designed for, built for or used in any commercial application;
  14. Repair or replacement of any tire(s) used or installed on motorcycles, all-terrain vehicles, motor homes, trailers, or on vehicles used for competitive driving or racing, police or emergency service, snow removal, commercial towing, construction, postal service, or any other commercial use;
  15. Repair or replacement of any tire(s) used or installed on any vehicle used for farming, ranching, or agriculture, or any vehicle that is registered to or licensed to a farming or ranching business;
  16. Repair or replacement of tires that are not: (i) clearly listed on the original purchase invoice; (ii) identified by the listed part/SKU numbers; and (iii) damaged while mounted on the Covered Vehicle;
  17. Repair or replacement of tire pressure monitoring systems (TPMS)and/or devices and components associated with TPMS;
  18. Consequential, incidental, and/or secondary damages;
  19. Any costs that You may incur as a result of the need to replace a tire other than the Program Benefits;
  20. Any expenses arising because the Covered Vehicle is not available for use;
  21. Liability for damage to property, injury to or death of any person arising out of the operation, maintenance or use of the Covered Vehicle whether or not related to tire damage;
  22. Storage or freight charges; and
  23. Any damage that occurs out side of the United States or Canada.

GENERAL CONDITIONS

·         The Tire Road Hazard Program is provided to You free of charge when You purchase Covered Tires from a Participating Dealer; therefore, it cannot be cancelled and has no independent value.

·         You are responsible for any expenses other than the Program Benefits.

·         The Tire Road Hazard Program is non-renewable, and the period during which coverage applies is limited to the Coverage Period.

IS THERE ANYTHING ELSE I NEED TO KNOW ABOUT THIS PROGRAM?

  1. FOR TIRE REPLACEMENTS DURING THE PROGRAM ADMINISTRATOR'S NORMAL BUSINESS HOURS, IF THE PARTICIPATING DEALER DOES NOT RECEIVE PRIOR AUTHORIZATION FROM THE PROGRAM ADMINISTRATOR TO REPLACE THE COVERED TIRE(S), THEN YOUR CLAIM WILL BE DENIED.
  2. We reserve the right to inspect any Covered Tire(s) prior to authorization, and prior to replacement or disposal;
  3. There is no coverage for any loss in which You, or anyone acting on Your behalf, commit any fraudulent act, or falsely swear with regard to any fact or circumstance of any loss or claim;
  4. We reserve the right to deny any claim: (i) submitted with false or misleading information, (ii) if the documentation does not clearly identify the original purchaser, the original selling Participating Dealer, the Covered Vehicle, and the Covered Tire(s), or (iii) if You are unable to provide the original purchase invoice for any Covered Tire(s).
  5. ANY PERSON WHO KNOWINGLY AND WITH THE INTENT TO INJURE, DEFRAUD, OR DECEIVE ANY WARRANT OR FILES A CLAIM OR AN APPLICATION CONTAINING ANY FALSE, INCOMPLETE, OR MISLEADING INFORMATION, MAY BE GUILTY OF A CRIME AND SUBJECT TO CIVIL AND/OR CRIMINAL SANCTIONS.
  6. No oral representations or statements may be relied upon by You. The terms and conditions contained herein represent the entire agreement between the parties hereto.

SCHEDULE 3 - PROCEDURES FOR PROCESSING A CLAIM

  1. When a consumer brings a damaged tire to you for repair or replacement, you must review the original purchase invoice for eligibility. Inspect the damaged tire to determine whether the damaged tire meets the requirements of a valid claim under the Consumer Guidelines (which includes, but is not limited to, confirming that the damaged tire is (i) a Covered Tire, (ii) from the Covered Vehicle, (iii) rendered Unserviceable due to damage from a Road Hazard, and (iv) within the Coverage Period for submitting a claim).
  2. If you determine that the damaged tire meets the requirements of a valid claim, then you must inspect the damaged tire to determine whether you can repair it in accordance with industry standards and dealership guidelines. If you can repair the damaged tire, you may proceed with the repair without obtaining prior authorization from the Program Administrator.
  3. If you determine the tire cannot be repaired, then you must request authorization from the Program Administrator, by calling 855-246-6009 (Monday through Friday from 9 a.m. to 8 p.m. Eastern Time),to replace the tire. Once you obtain authorization, you must select the exact same make and model of tire for the Replacement Tire, if available. If the same make and model of tire is not available to you under the Program, you are solely responsible for selecting a comparable quality tire under the Program.
  4. If you have a claim for replacement which is outside the normal business hours of the Program Administrator (Monday through Friday from 9 a.m. to 8 p.m. Eastern Time), you must inform the consumer that he/she may (i) wait for you to obtain authorization from the Program Administrator, or (ii) proceed with the tire replacement without the prior authorization from the Program Administration and be solely responsible for all amounts owed to you, the Participating Center, should the Program Administrator deny the consumer's claim. If you proceed with the tire replacement without the prior authorization, you must contact the Program Administrator the following business day. The damaged tire must be retained for inspection or for digital photographs if requested by the Program Administrator.
  5. Upon the completion of the repair or replacement of the damaged tire, you must have the consumer sign the repair/replacement invoice and keep a copy of it, along with a copy of the original purchase invoice for the damaged tire.
  6. You must not submit a claim to the Program Administrator if any of the exclusions set forth on Schedule 5, as may be amended from time to time, apply. The Program Administrator reserves the right to modify the exclusions at any time and will post the most current Schedule 5 to the Website.

SCHEDULE 4 - CLAIM DOCUMENTATION & ADDRESS When submitting the claim documentation to the Program Administrator, the Participating Center needs to include the following:

  1. a copy of the original purchase invoice of the Covered Tire(s) including:
    1. the year, make, model and mileage of the Covered Vehicle; and
    2. the customer's full name and address.
  2. a copy of the replacement invoice signed by the consumer including:
    1. the brand, type, size and part/SKU number for each Covered Tire being replaced;
    2. the customer's full name and address; and
    3. the authorization number obtained from the Program Administrator.
  1. any other documents that are reasonably requested by the Program Administrator

SCHEDULE 5 - EXCLUSIONS FROM COVERAGE UNDER THE PROGRAM THE PROGRAM ADMINISTRATOR WILL DENY ANY CLAIM SUBMITTED WITH ONE OR MORE OF THE FOLLOWING:

  1. If the repair or replacement of the Covered Tire is made by anyone other than a Participating Center.
  2. If any part of a Covered Tire has a tread depth of 2/32" or less.
  3. For any damage to a Covered Tire that occurs outside the United States or Canada.
  4. For any repair or replacement of a Covered Tire that is not damaged while on the Covered Vehicle.
  5. For any repair or replacement of a Covered Tire that is not damaged by a Road Hazard.
  6. For any repair or replacement of a Covered Tire due to manufacturer defect or recall.
  7. For an invoice presented for payment of services that were not performed.
  8. For any cosmetic damage to a Covered Tire (cosmetic damage is described as damage that does not render the tire Unserviceable).
  9. For any loss, damage or expense resulting from off-road use of a Covered Tire (off-road use means that the Covered Vehicle was driven on anything that is not a paved road maintained by the state or local authority, or by a private entity).
  10. For any damage to a Covered Tire caused by any mechanical failure (including, but not limited to, failed shocks, struts, alignment, or balancing) or contact with vehicle components (including, but not limited to, fenders, exhaust system, or springs).
  11. For any repair or replacement of a Covered Tire that has been repaired or replaced in any manner other than in accordance with the tire manufacturer guidelines and industry approved methods.
  12. For any repair or replacement of a Covered Tire that has been re-treaded, re-capped, re-grooved, remolded, or tubed.
  13. For any repair or replacement of a Covered Tire used or installed on any vehicle designed for, built for or used in any commercial application;
  14. For any repair or replacement of any tire(s) usedor installed on motorcycles, all-terrain vehicles, motor homes, trailers, or on vehicles used for competitive driving or racing, police or emergency service, snow removal, commercial towing, construction, postal service, or any other commercial use;
  15. For any repair or replacement of a Covered Tire used or installed on any vehicle used for farming, ranching, or agriculture, or any vehicle that is registered to or licensed to a farming or ranching business.
  16. For any repair or replacement of a Covered Tire that is not: (a) clearly listed on the original purchase invoice; and (b) identified on the invoice by the OEM part/SKU numbers.

Furthermore, the Program does not include any other costs or expenses and the Program Administrator will deny all claims and is not responsible for:

  1. any consequential, incidental, and/or secondary damages;
  2. any cost or expense arising because the subject vehicle is not available for use;
  3. any liability for damage to property, injury to or death of any person arising out of the operation, maintenance or use of the vehicle whether or not related to tire damage;
  4. any storage charges;
  5. any loss, damage or expense caused by an accident, collision, impact with another vehicle or animal, theft, larceny, snow chain, explosion, lightning, earthquake, fire, windstorm, hurricanes, water, flood, wet or dry rot, malicious mischief, vandalism, civil commotion, riot, nuclear discharge, war or warlike act, or act of terrorism;
  6. any damage to a Covered Tire caused in whole or in part by insufficient or improper maintenance, misuse, abuse, negligence, improper application, improper towing, improper balancing or alignment, improper inflation, brake lock up, wheel spinning, or torque snags;
  7. any repair or replacement of tire pressure monitoring systems (TPMS) and/or devices and components associated with TPMS; and
  8. any other costs or expenses that are incurred as a result of the need to repair or replace a Covered Tire (other than those costs specifically included as a benefit under this Program).

*Tires purchased prior to July 1, 2018 receive either 12 or 24 months of road hazard coverage based on the enrolled service level at the time of customer sale. Coverage provided by Nation Safe Drivers under original 12-month or 24-month Sonsio terms and conditions and coverage period.
